Issuance of subordinated Tier 2 notes

Pursuant to the Rules of the Ljubljana Stock Exchange relating to point 1 paragraph 1 of Article 130 of the Market Financial Instruments Act NLB d.d., Trg republike 2, 1000 Ljubljana, announces:

NLB d.d., Ljubljana (hereinafter also: the company) announced on 15 January 2024 that it is planning to issue subordinated notes intended for inclusion into Tier 2 capital (hereinafter: the notes). On the basis of orders received from eligible counterparties and professional clients outside the United States of America the company has decided to issue the notes in the aggregate nominal amount of EUR 300 million. The notes are expected to be issued on 24 January 2024, their maturity date will be 24 January 2034 and the issuer will have the option for early redemption on 24 January 2029. The interest on the principal of the notes will accrue at the interest rate of 6.875% per annum and the issue price will be equal to 100% of their nominal amount. The ISIN code of the notes will be XS2750306511.
