In mid-December, NLB d.d. Shareholders will convene for the second time this year – at the 47th General Meeting, which will take place on 14th December 2026 at 11 a.m. The gathering will be held both in person at Cankarjev dom in Ljubljana and virtually as an electronic general meeting (EGM) via the web portal.
Shareholders will vote on the resolution proposed by the Management and Supervisory Boards of NLB d.d. regarding the additional allocation of distributable profit for 2025. The Boards propose to shareholders that dividends in the total amount of EUR 138,400,000.00, which is EUR 6.92 gross per share, be paid out on 22nd December 2026 to the persons who are registered as the Shareholders of NLB d.d. with the KDD – Central Securities Clearing Corporation on the day that is 5 working days after the day of the General Meeting that adopted this resolution (21st December 2026, Cut-Off Date). They also propose that the remaining part of the distributable profit would stay undistributed and represents retained earnings.
The proposed EUR 138,400,000.00 for the second tranche of a dividend payment from the profit generated in 2025 is not included in the capital base. Therefore, the payment will not affect the NLB Group capital ratios and will remain stable and high above the regulatory requirement after the dividend distribution.
This will be the second dividend pay-out this year, following the one in the same total amount of EUR 138,400,000.00, or EUR 6.92 gross per share, on 23rd June 2026. Together, the two pay-outs will amount to EUR 276.8 million or 55% of NLB's 2025 net profit, demonstrating NLB’s continued commitment to creating strong value for its shareholders and ranking NLB among the top dividend payers in the domestic index and across the European banking indices.
Shareholders to Decide on Proposed Share Split
At the General Meeting, shareholders will also vote on the proposed share split. The Management and Supervisory Boards namely suggest that the Bank’s share capital of EUR 200,000,000.00 currently divided into 20,000,000 no-par-value shares, be divided into 100,000,000 no-par-value shares from the split onward. The split would take effect on 8 February 2027 or on such later date on which each share entered in the central register of book-entry securities at the end of the preceding business day is divided into five shares. This would mean that shareholders would hold a greater number of shares, while their rights would remain unchanged.
Furthermore, the share split would not affect GDR holders, and the GDR price and the number of GDRs held would remain unchanged. As according to the proposal each share would be divided into five, the GDR-to-share ratio would move from the current 5:1 to 1:1, so each GDR would represent one share.
“A little less than eight years ago, on November 14th, 2018, NLB share began trading at EUR 51.50. Yesterday (on November 3rd, 2026) it closed the trading day at EUR 209, reflecting the significant progress NLB and the Group have made over the years, and the confidence investors have placed in our operations. NLB has grown into a leading banking group headquartered in South-Eastern Europe, our home region, and we want our shares to be as accessible as our franchise is strong,” commented NLB’s CEO Blaž Brodnjak. “Against this backdrop, we believe that the proposed share split, followed by a lower price of an individual share, would make our shares more affordable and easier to trade with, opening our story to a broader base of retail and institutional investors in Ljubljana, London and beyond. We find the proposal to be a practical, forward-looking step that would offer investors greater flexibility, while at the same time support our ambition to further strengthen NLB’s presence on the capital markets.”
