35th NLB General Meeting to Take Place on 15 June 2020

Today, 4 May, the NLB has published the Convocation of the 35th NLB General Meeting, which will be held in Ljubljana on 15 June this year at 11 a.m. The Convocation of NLB General Meeting, proposed resolutions with explanations and other documents for the General Meeting are published here on the website and available to all the interested stakeholders.

The NLB d.d. has convened its General Meeting in the time when certain measures are still in force in Slovenia as a result of the SARS-CoV-2 (COVID-19) epidemic, restricting the association and movement of people. For this reason, all the shareholders are advised to get informed of the proposed resolutions and explanations as well as other relevant documents at the Bank’s website at www.nlb.si in order to avoid unnecessary physical contact when the materials are reviewed at the seat of the Bank. Should you still opt for this less safe and more time consuming option, all the shareholders are kindly requested to make an appointment either by e-mail at Skupscina2020@nlb.si or phone on 01 470 70 33, where you can reach us every working day between 9 and 11 a.m. 

If the epidemiological situation is not stable, the General Meeting will be cancelled

The restrictive measures potentially affecting the organisation of the NLB General Meeting are expected to be relaxed or even lifted by the time of the meeting. However, if this is not the case, the NLB is going to cancel the NLB General Meeting in accordance with the Articles of Association of Nova Ljubljanska banka d.d., Ljubljana, no later than three working days prior to the meeting, in the manner mutatis mutandis to the manner in which it has been convened. In accordance with the applicable rules and regulations, the NLB is going to convene a new NLB General Meeting at a later date if allowed by the epidemiological situation, thus providing all the shareholders with the opportunity to exercise their rights.

Organised collection of powers of representation – a safe way to exercise your voting rights

The NLB would like to make the exercising of rights as convenient and as safe as possible for all the shareholders, and for this reason the powers of representation will be collected in an organised manner enabling them to cast their votes at the General Meeting. In order to do that, the shareholders will receive a registration form and power of representation, which will be sent to their address entered in the central register of dematerialised securities with the clearing house KDD d.d., allowing them to be represented by the authorised persons proposed by the NLB.

The shareholders who will decide to attend the NLB General Meeting in person are kindly requested to consistently comply with all the measures upon their arrival at the General Meeting to lower the risk of contracting COVID-19, in accordance with the recommendations issued by the National Institute for Public Health in force at the time of the meeting.
