Announcement of Takeover Bid

Pursuant to the provisions of the Recommendations of the Ljubljana Stock Exchange to public companies and in order to ensure equal dissemination of information for all stakeholders and publishing of information in a way that is indiscriminate, Nova Ljubljanska banka d.d., Ljubljana (»NLB d.d.«), hereby publishes the following notice:

NLB d.d. published Takeover Bid in Republic of Serbia in accordance with applicable Serbian legislation for acquisition of: 

all remaining regular shares of Komercijalna banka a.d., Beograd; ISIN RSKOBBE16946 not in NLB‘s ownership at the point of publishing of the Takeover Bid (i.e. 2,820,270 regular shares or 16.77% of this class of shares) at 3,315.47 RSD per one share;

all priority shares of Komercijalna banka a.d., Beograd; ISIN RSKOBBE19692 (i.e 373,510 priority shares or 100% of this class of shares) at 934.72 RSD per one share.

Takeover bid is open for acceptance (Bidding Period) for 30 days, beginning from 11th March 2021. Following expiration of the Bidding Period, NLB d.d. (in its capacity as Bidder) will pay to those stakeholders who have accepted NLB d.d.’s Takeover Bid (in no later than 2 days as of completion of the Takeover Bid) a corresponding amount of purchase price for the shares (deposited to the Depo Account with BDD Convest a.d. Novi Sad) for which these stakeholders have accepted the Takeover Bid.
