NLB Priced its New Subordinated Tier 2 Bonds

NLB has successfully completed the bookbuilding for new EUR 400 million Tier 2 bonds, further strengthening its capital position and supporting the Group’s growth ambitions. The transaction drew strong interest from a broad base of institutional investors, with the order book reaching 2.3 times oversubscription at its peak.

The offering attracted participation from global and regional investors, including assets managers, pensions funds, insurance companies, financial institutions, and other investors. In terms of geographic allocations, investors came from France (32%), UK (20%), Germany (15%), Benelux (12%), Slovenia (3%), and other markets.

The transaction reaffirms NLB’s standing as a regular and trusted issuer on the capital markets, with gradually growing issuance amounts (these bonds were the largest NLB subordinated issuance to date), and reflects investors’ strong confidence in the future potential of our business. Our Group is well prepared for the next phase of growth.
Archibald Kremser, NLB’s CFO
Strong investor demand, particularly in a demanding market environment, sends a clear message of confidence in NLB Group and the strategy we are pursuing. We have built a strong, profitable and resilient regional banking group, firmly anchored in our home region. The transaction supports the Group’s continued growth and our M&A ambitions.
Blaž Brodnjak, NLB’s CEO

The bonds are expected to be issued on 20 October 2026 and mature on 20 October 2036, with an issuer call option on 20 October 2031. The interest will accrue at a rate of 5.232% per annum. The bonds have been assigned a credit rating of Baa2 by Moody’s Ratings.
