NLB’s Offer for Addiko Bank Gains Further Momentum and Support from Leading Investors

NLB's voluntary public takeover offer for Addiko Bank AG continues to gain momentum as leading international investors and key stakeholders increasingly recognize the attractiveness and the compelling value of NLB's proposal.

Following the recent announcement by Brandes Investment Partners, which holds a 5.07% stake in Addiko, that it intends to tender its shares into NLB’s Offer, the European Bank for Reconstruction and Development (EBRD) also publicly confirmed its intention to tender its entire 8.4% stake in Addiko into NLB's bid. Further support for NLB's Offer comes also from Johannes Proksch, Deputy Chairman of Addiko's Supervisory Board, who has also decided to tender his Addiko shares into the NLB Offer.

 

The decisions by two of Addiko’s most prominent institutional shareholders represent strong recognition of the merits of NLB’s Offer and its benefits for shareholders. NLB’s proposal provides an attractive premium of 39.6% compared to the competing offer, together with transparent maximum consideration, no contingent payments, and a lower acceptance threshold.

Shareholders May Revoke Acceptance of the Competing Offer trough a Simple Process

As further endorsements from leading institutional investors are expected, it is important to note that Addiko shareholders who have already accepted the competing offer by Raiffeisen Bank International AG may revoke their acceptance declarations until Thursday, July 23, 2026, at 5:00 p.m. (CET), and tender their shares into NLB’s Offer instead. The Austrian Takeover Commission explicitly confirmed this possibility in its communication published on 17 July 2026.

 

The process for revoking already tendered shares is simple and straightforward. To revoke a prior acceptance and participate in NLB's Offer, shareholders should contact their brokers.
