By Purchasing Additional Shares NLB Group Reached an Agreement to Acquire More Than 55% Ownership Stake in DBS

After last week’s signing of a share purchase agreement with Skupina PRVA d.d. and its related parties for the acquisition of a 25.66% of all dematerialised shares in Deželna banka Slovenije d.d. (DBS), NLB Group today also entered into a share purchase agreement with KD Group d.d. for the acquisition of additional 29,38 % of all dematerialised shares. Thereby NLB Group has signed agreements to acquire more than 55% of the voting rights in DBS.

Both transactions are expected to be completed following receipt of all required regulatory approvals, most likely in the second half of next year. NLB Group expects no obstacles to obtaining such approvals. In the meantime, we are open to discuss the acquisition of a larger strategic share with the remaining shareholders.

NLB Aims to Retain DBS’s Network

Following the successful completion of the transaction and takeover, DBS is expected to become part of the NLB Group. Our aim is to combine the strengths of both banks to provide customers with an even broader range of financial services, access to modern digital solution, as well as an extensive branch and ATM network. NLB’s aim is namely to retain the DBS’s network in environments where NLB currently does not have a physical footprint, thus securing access to cash and other universal financial services to the widest possible range of clients, from households to farmers, businesses and local communities. We also aim to create greater value for shareholders and other stakeholders, while further strengthening the NLB Group’s position in its home market.

Crucial Development Parter to Slovenian Agricultural Sector

As already communicated, with the intended acquisition of an ownership stake in DBS NLB Group recognizes the importance of the agricultural sector – a segment that DBS largely serves through its products and services, while within the NLB Group it has long been understood and supported as an area of broader societal importance. The ability to secure a reliable domestic food supply chain has namely become a strategic issue. As Slovenia's leading bank and a crucial development partner, NLB wishes to further strengthen its systemic role and make a meaningful contribution to shaping Slovenia's future.
